Terms of Service

1. Acceptance of terms

By accessing or using the HomeBazaarplatform (the “Service” or the “Platform”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. The Service is operated by HomeBazaarPH, a sole proprietorship registered in Metro Manila, Philippines.

2. Service description

The Platform is a marketplace that facilitates transactions between independent home cooks (“Cooks”) and customers (“Customers”). The Platform does not prepare, cook, package, deliver, or otherwise handle the food sold through the Service. The Platform does not guarantee the quality, safety, or accuracy of any food, listing, or description provided by a Cook. All food is prepared by independent Cooks operating under their own kitchens and authority, and Cooks are solely responsible for compliance with applicable food safety, health, and licensing regulations.

The Platform provides software tools to enable listings, ordering, scheduling, payment processing, and communication. It does not act as the seller, manufacturer, or distributor of the food itself.

3. User accounts

You must be at least 18 years old to create an account. The Service uses passwordless email one-time-code (OTP) authentication; you are responsible for maintaining the security of the email account associated with your Platform account. You agree to provide accurate and current information at signup and to keep it updated.

You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose
  • Impersonate another person or misrepresent your identity
  • Harass, abuse, or threaten other users
  • Scrape, copy, or systematically extract data from the Service without our express written permission
  • Interfere with the operation, security, or integrity of the Platform
  • Upload malicious code or attempt to compromise other users' accounts
  • Use the Service to compete with the Platform or to develop a competing service

Violation of any of these terms may result in suspension or termination of your account, at our sole discretion.

5. Marketplace structure

Cooks and Grocery Vendors (“Vendors”) operate as independent contractors and are not employees, agents, or partners of the Platform. The Platform charges a service fee of [X]% on completed orders, deducted from amounts collected on behalf of Cooks and Vendors before disbursement. Specific fee terms are made available at signup and may be updated from time to time with notice.

Cooks and Vendors set their own prices, listings, capacity, and order cutoff or fulfilment windows. The Platform does not set, control, or guarantee pricing. Cooks and Vendors retain all rights to refuse orders consistent with the policies in Section 6.

6. Orders and payments

Payments are processed through PayMongo and other third-party payment processors. By placing an order, you authorize the Platform to charge the payment method you provide for the order total plus applicable fees and taxes.

This section covers both food orders (from Cooks) and grocery orders (from Vendors).

Order acceptance: when a Customer places an order, the Cook or Vendor receives a request to accept or reject it. The Cook or Vendor has final say on whether to accept any individual order, based on capacity, ingredient or stock availability, or other operational reasons. If the order is rejected, the Customer is not charged (or is refunded, where applicable).

Refunds: refund eligibility and timelines are as outlined at checkout. The Platform does not guarantee refunds for food or products that have been delivered as ordered, except in cases of material misrepresentation by the Cook or Vendor or a verified safety issue. Refund disputes are reviewed on a case-by-case basis.

7. Tiffin subscriptions

Tiffin subscriptions are recurring weekly arrangements between a Customer and a Cook. By subscribing, you authorize automatic weekly billing for the specified plan price until the subscription is cancelled.

Cancellation: you may cancel your subscription at any time from your customer dashboard. Cancellation takes effect at the end of the current billing cycle. Already-scheduled deliveries within the current week will be fulfilled.

Plan changes: Cooks may update plan menus or capacity from time to time. Already-scheduled deliveries within the current week are not affected by plan changes. If a Cook ends a plan, all active subscriptions to that plan are cancelled at the end of the current week, and the affected Customers will be notified.

8. Cook responsibilities

Cooks agree to:

  • Comply with all applicable food safety, hygiene, and licensing regulations in the Philippines
  • Maintain accurate listings — dish names, descriptions, allergens, prices, and photos must reflect what is actually served
  • Honour accepted orders within the published preparation and fulfillment windows
  • Communicate professionally and respectfully with Customers
  • Disclose all allergens and dietary information to the best of their knowledge
  • Maintain their own business records and tax filings; the Platform does not provide tax or accounting services to Cooks

Specific cook-side obligations and their enforcement are subject to further definition in the cook agreement, which may be referenced separately.

9. Grocery Vendor responsibilities

Grocery Vendors agree to:

  • Comply with all applicable product safety, storage, and labeling regulations in the Philippines
  • Maintain accurate listings — product descriptions, weights, prices, freshness, and photos must reflect what is actually sold
  • Honour accepted orders within the published fulfilment windows
  • Maintain proper storage conditions, especially for perishables such as fish, dairy, and frozen items
  • Disclose relevant product information — allergens and ingredients where applicable — to the best of their knowledge
  • Maintain their own business records and tax filings; the Platform does not provide tax or accounting services to Vendors

Specific vendor-side obligations and their enforcement are subject to further definition in the vendor agreement, which may be referenced separately.

10. Customer responsibilities

Customers agree to:

  • Provide accurate delivery information, including address, barangay, and contact number
  • Be available to receive deliveries during agreed time slots
  • Pay all amounts owed for orders placed under your account
  • Communicate respectfully with Cooks and platform support
  • Disclose serious allergies to the Cook directly when placing orders that may be affected
  • Not use the Service to submit false or fraudulent disputes, chargebacks, or claims

11. Intellectual property

The Platform — including its name, brand, logos, user interface, software, and underlying content created by us — is owned by HomeBazaarPH. You may not copy, modify, distribute, or create derivative works of Platform materials without our written permission.

Cooks and Vendors retain all rights to their listing content (dish or product names, descriptions, photos, and recipes they upload). By posting content to the Platform, they grant us a non-exclusive, royalty-free license to display that content in connection with operating the Service.

12. Disclaimers and limitation of liability

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE FOOD OR PRODUCTS SOLD THROUGH THE SERVICE OR THE SERVICE ITSELF. Without limiting the foregoing, the Platform is not liable for:

  • The quality, safety, taste, freshness, or accuracy of any food prepared by a Cook or any product sold by a Vendor
  • Allergic reactions or adverse health effects arising from food or products consumed
  • Delays, missed deliveries, or other fulfillment issues caused by Cooks, Vendors, or delivery partners
  • Loss, damage, or theft of food or products in transit between a Cook or Vendor and the Customer
  • Disputes between Cooks or Vendors and Customers regarding food or product quality, quantity, freshness, or delivery

To the maximum extent permitted by applicable law, the Platform's total aggregate liability arising out of or related to your use of the Service is limited to the amount paid for the specific order giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, special, or punitive damages.

Customers with serious allergies should communicate directly with Cooks or Vendors before ordering, and should exercise caution when consuming food prepared in home kitchens or products sold by independent vendors that may also handle allergens.

13. Governing law

These terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of laws principles. Any disputes arising out of or in connection with these terms or the use of the Service shall be submitted to the exclusive jurisdiction of the competent courts of Metro Manila, Philippines.

14. Changes to terms

We may update these Terms of Service from time to time. When we do, we will post the updated terms on the Platform and update the “Last updated” date at the top of this page. Material changes will be communicated to users at least 30 days before taking effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated terms.
